Ms. SOK Vanseka

Adjunct Lecturer: Teaching Financial and Banking Law and Consumer Protection Law

Ms. Vanseka has around twelve years of experience in legal practices, specializing in financial laws, commercial practices, investment laws, and arbitration. As a previous central bank lawyer, Vanseka used to assist the National Bank of Cambodia in liquidating banks as well as drafting resolution laws. In the name of the lawyer for private clients, she has assisted her clients, especially banks, in litigating against the borrowers for debt recovery. She started her legal career as an associate in the real estate practice group at a regional law firm based in Cambodia, with a focus on land concession, co-owned, and multipurpose buildings’ developments. She helped clients there obtain economic land concessions, sublease the concession rights, prepare land holding structures for two international malls, and draft legal documents for a co-owned building with investment from a foreign listed company.

With her interest in finance and innovation, she later joined the central bank of Cambodia as an in-house counsel to assist the bank in drafting prudential, banking supervision, and payment regulations. She also assisted the bank in launching the central bank’s financial instruments, interbank market development, and blockchain payment system. She took the lead in drafting deposit insurance and special resolution legislation for banking and financial institutions in Cambodia. Later on, she joined another regional law firm based in Cambodia as a senior associate in banking cross-cutting capital market practice groups. On a project basis, she has participated in some missions of the International Monetary Fund (“IMF”) as an expert for advising on public financial management and drafting relevant laws and regulations in other countries. She was also a consultant for the Royal Government of Cambodia and the World Bank on cross-cutting reforms in the areas of public administration, public financial management, law and justice, and decentralization.

At Sethalay Law Office, Vanseka has been assisting the competent authorities in conducting research and drafting regulations on financial technology, consumer protection, universal health coverage, and competition. Moreover, she has also advised and assisted the clients in market entries, especially in the financial sector, investment sector, and aviation. Vanseka has also assisted clients in drafting, reviewing, and negotiating over the legal documents for business and financial transactions, including organizational structures, technology transactions, real estate agreements, and investment agreements. Moreover, she has also been involved in the exercise of merger and acquisition and the initial public offering of several companies.
